These Terms & Conditions govern your access to and use of FolioLens, including our website, early-access experience, mobile apps, and related services.

This is an early version prepared for launch and app-store review. It should be reviewed by qualified counsel before FolioLens is scaled commercially.

1. Acceptance of these terms

By accessing or using FolioLens, you agree to these Terms. If you do not agree, do not use FolioLens.

2. What FolioLens is

FolioLens is an informational portfolio clarity tool. It helps users organise and understand mutual fund portfolio data, including performance, allocation, overlap, concentration, benchmark comparison, and fund behaviour.

3. No investment, tax, legal, or financial advice

FolioLens does not provide investment advice, tax advice, legal advice, accounting advice, financial planning, or fund recommendations. Nothing in FolioLens should be treated as a recommendation to buy, sell, hold, switch, redeem, or invest in any mutual fund, security, or financial product.

You are responsible for your own financial decisions. Consider consulting a qualified and registered professional before making investment, tax, or financial decisions.

4. Eligibility

You must be at least 18 years old and legally able to enter into these Terms to use FolioLens. You are responsible for ensuring that your use of FolioLens is lawful in your jurisdiction.

5. Early-access status

FolioLens may be offered in early access, beta, or pre-release form. Features may be incomplete, experimental, unavailable, inaccurate, changed, or discontinued at any time. We may limit access, invite users gradually, or pause features while we improve the product.

6. Your account and information

You are responsible for keeping your login credentials secure and for all activity under your account. You agree to provide accurate information and to update it when needed.

You confirm that any CAS statements, emails, files, or portfolio information you upload, forward, connect, or submit are yours or that you have the right and authority to use them with FolioLens.

7. Portfolio data and accuracy

FolioLens may rely on uploaded documents, third-party data, public fund data, parsing logic, market data, NAV data, and calculations. While we aim to be accurate, portfolio data, calculations, classifications, benchmarks, and analytics may be delayed, incomplete, incorrect, or unavailable.

You should verify important information against official sources, fund houses, RTAs, brokers, platforms, statements, or professional advisers before relying on it.

8. Permitted use

You may use FolioLens for your personal portfolio tracking and analysis. You must not:

• Use FolioLens for unlawful, fraudulent, harmful, or misleading activity.
• Upload data that you are not authorised to use.
• Attempt to gain unauthorised access to systems, accounts, or data.
• Reverse engineer, scrape, overload, probe, or interfere with FolioLens or its infrastructure.
• Use FolioLens to provide regulated investment advice or financial services without proper authorisation.
• Misrepresent FolioLens output as professional advice or guaranteed investment analysis.

9. Third-party services and data

FolioLens may rely on third-party services for hosting, authentication, database, analytics, forms, email, security, app distribution, and data sources. Those services may have their own terms and privacy policies. We are not responsible for third-party services that we do not control.

10. Communications

By joining the waitlist or creating an account, you agree that we may send you service emails, early-access updates, product communications, support messages, and administrative notices. You can opt out of marketing emails where applicable, but we may still send essential service communications.

11. Intellectual property

FolioLens, including its name, logo, design, software, content, and product experience, is owned by us or our licensors. You may not copy, modify, distribute, sell, or create derivative works from FolioLens except as permitted by law or with our written permission.

12. Privacy

Our Privacy Policy explains how we collect, use, and share information. By using FolioLens, you also agree to the Privacy Policy.

13. Availability and changes

We may modify, suspend, or discontinue FolioLens or any feature at any time. We may also update these Terms as the product evolves. Continued use after changes means you accept the updated Terms.

14. Disclaimers

FolioLens is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim warranties of accuracy, reliability, availability, fitness for a particular purpose, non-infringement, and uninterrupted operation.

15. Limitation of liability

To the maximum extent permitted by law, FolioLens and its operators will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for investment losses, lost profits, lost data, business interruption, or decisions made based on FolioLens output.

16. Indemnity

You agree to indemnify and hold FolioLens harmless from claims, losses, liabilities, damages, costs, and expenses arising from your misuse of FolioLens, your violation of these Terms, or your unauthorised use of third-party data.

17. Termination

We may suspend or terminate access if we believe you have violated these Terms, created risk, abused the service, or used FolioLens unlawfully. You may stop using FolioLens at any time.

18. Governing law

These Terms are intended to be governed by the laws of Ireland, unless mandatory local law requires otherwise. Courts in Ireland will have non-exclusive jurisdiction, subject to applicable consumer protection laws.
